Terms of Service

1. Agreement to Terms

By accessing or using TradeSphere.ai ("Service"), operated by Nimbus.io, LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

The Service is available to individuals who are at least 18 years old and can form legally binding contracts. By using the Service, you represent that you meet these requirements.

2. Description of Service

TradeSphere provides prediction market analytics, smart money tracking, and data APIs. We aggregate publicly available data from prediction markets including Polymarket and present it through API endpoints and a web interface.

The Service is an informational and analytical tool. Nothing on TradeSphere constitutes financial advice, investment advice, trading advice, or any other sort of advice. You should not treat any of the content as such.

3. Accounts and API Keys

To access certain features, you must create an account and may generate API keys. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized use of your account or API keys. We reserve the right to suspend or terminate accounts that violate these terms.

API keys are issued for your use only. You may not share, sell, or transfer API keys to third parties without prior written consent.

4. Subscriptions and Billing

Paid features are available through subscription plans billed monthly via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Free Trial. New Pro subscribers receive a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged.

Price Changes. We may change subscription prices with 30 days' notice. Price changes take effect at the start of the next billing period following the notice.

Cancellation. You may cancel your subscription at any time through the Stripe Customer Portal. Your access continues through the end of the current billing period. See our Refund Policy for details.

5. Acceptable Use

You agree not to:

• Exceed your plan's rate limits or attempt to circumvent them
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to build a competing product or service
• Resell, redistribute, or sublicense access to the API without authorization
• Use automated tools to scrape or harvest data beyond your API key's authorized scope
• Interfere with or disrupt the integrity of the Service or its infrastructure
• Use the Service for any unlawful purpose

6. Data and Intellectual Property

The Service, including its design, code, algorithms, and documentation, is owned by Nimbus.io, LLC and protected by intellectual property laws.

Market data provided through the Service originates from third-party prediction markets. We do not claim ownership of underlying market data. Our value-add — analytics, scoring, signal detection, and derived metrics — is proprietary.

You retain ownership of any content you create using data obtained through the Service, subject to these terms.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that data will be accurate, complete, or timely. Market data may be delayed, incomplete, or contain errors. You use the Service at your own risk.

8. Limitation of Liability

To the maximum extent permitted by law, Nimbus.io, LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Nimbus.io, LLC from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from your use of the Service or violation of these terms.

10. Service Availability

We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.

11. Termination

We may suspend or terminate your access at any time for violation of these terms or for any other reason at our sole discretion, with or without notice.

Upon termination, your right to use the Service ceases immediately. Any provisions of these terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or a notice on the Service. Continued use after changes constitutes acceptance of the revised terms.

13. Governing Law

These terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Dallas County, Texas.
